TERMS & CONDITIONS
NHEV Greenways Private Limited is a Special Purpose Vehicle (SPV) established for the development, commissioning, operation, asset management and associated implementation of infrastructure forming part of the NHEV 3G Energy Station and e-highway ecosystem.
By accessing, browsing, registering on, submitting information through, or otherwise using the Platform, you acknowledge that you have read, understood and agreed to these Terms. If you do not agree with any part of these Terms, you should not use the Platform.
About Nhev Greenways
NHEV Greenways Private Limited acts as an SPV for implementation and management of designated infrastructure and associated activities under the NHEV programme.
The Company may undertake, directly or through authorised partners, contractors, operators, technology providers, financiers and other stakeholders, activities including:
- development and construction of 3rd Generation (“3G”) Energy Stations;
- commissioning and operationalisation of energy and mobility infrastructure;
- asset management and facility management;
- electric vehicle charging and associated energy infrastructure;
- battery swapping and allied mobility infrastructure, where applicable;
- renewable energy and energy-storage infrastructure;
- digital, technology and communication infrastructure;
- highway mobility, fleet and roadside support services;
- station amenities and commercialisation;
- land, site and facility management;
- procurement, appointment and management of vendors, contractors and service providers; and
- such other activities as may be necessary or incidental to the implementation and operation of the NHEV infrastructure ecosystem.
Nothing contained on this Platform shall be construed as creating a partnership, agency, joint venture, franchise, employment, fiduciary or other legal relationship between the Company and any visitor or applicant unless expressly established through a separate written agreement.
Nhev Programme And Government Association
The NHEV programme is an electric mobility and e-highway infrastructure initiative involving multiple public and private stakeholders.
The use of the terms “NHEV”, “National Highways for Electric Vehicles”, “e-highway”, “NHEV 3G Energy Station” or related terminology on this Platform does not, by itself, imply that NHEV Greenways is a Government department, Government company, statutory authority or governmental agency.
Where any activity, project, station, corridor, land parcel, approval, concession, permission, financing arrangement or service involves a Government authority, public sector undertaking, highway authority, land-owning agency, utility, regulator or other third party, such activity shall remain subject to the relevant approvals, agreements, permissions and applicable laws.
Eligibility And Use Of The Platform
You represent that:
- you are legally competent to enter into a binding arrangement;
- all information provided by you is true, accurate, complete and current;
- you have authority to act on behalf of any organisation or entity that you represent;
- you will use the Platform only for lawful purposes; and
- you will comply with all applicable laws, regulations, guidelines, policies and contractual obligations.
Where a user is acting on behalf of a company, partnership, LLP, Government entity, PSU, landowner, concessionaire, financial institution, vendor or other organisation, the user represents that they have the requisite authority to submit information or make representations on behalf of such entity.
Information Submitted By Users
Users may be required to submit information for applications, enquiries, registrations, land proposals, partnership opportunities, procurement, onboarding, station allocation, financing, vendor empanelment, project execution or other purposes.
The user shall ensure that all information and documents submitted are:
- genuine and legally obtained;
- accurate and complete;
- not misleading or fraudulent;
- capable of being independently verified; and
- submitted with all necessary authorisations and consents.
NHEV Greenways reserves the right to verify any information or document submitted through the Platform.
Submission of information does not automatically constitute acceptance, approval, appointment, allocation, allotment, empanelment, financial sanction, work order, contract or any other binding commitment by NHEV Greenways.
Any such commitment shall arise only upon execution of the applicable written agreement, Letter of Intent, Letter of Award, work order, allotment letter, concession agreement or other formal document authorised by the Company.
Applications, Allocation And Selection
Where the Platform provides opportunities for participation, partnership, land onboarding, station allocation, procurement or other commercial arrangements:
- the Company may prescribe eligibility requirements;
- applications may be subject to technical, financial, legal, commercial and other evaluation;
- the Company may seek additional information or clarification;
- the Company may conduct due diligence and verification;
- selection may be subject to availability of sites, infrastructure, funding, approvals and other project requirements; and
- submission of an application shall not create any vested right in favour of the applicant.
The Company reserves the right to accept, reject, defer, modify, suspend or cancel any application or process in accordance with the applicable process and contractual framework.
Where specific terms have been issued for a particular project, procurement process, EOI, RFP, station allocation or partnership opportunity, those specific terms shall prevail over these general website Terms to the extent of any inconsistency.
Land, Site And Property Information
Where the Platform facilitates submission or consideration of land parcels or sites for development of NHEV infrastructure, the person submitting the information represents and warrants that:
- they have lawful ownership, possession or authority in respect of the land/site;
- the information relating to title, area, boundaries, access, encumbrances and land use is accurate;
- all necessary permissions and consents shall be obtained as required;
- the land is not knowingly subject to undisclosed litigation, acquisition proceedings, encumbrances or third-party claims; and
- all documents submitted to NHEV Greenways are genuine and verifiable.
Any proposed land onboarding, lease, licence, pledge, allotment or utilisation shall remain subject to separate documentation, due diligence, statutory approvals and execution of definitive agreements.
No information published on the Platform shall itself constitute a transfer, lease, licence, pledge, acquisition or creation of any right, title or interest in land.
Project Infrastructure And Services
The availability, specifications, location, capacity, commissioning date, operational status, commercial model and other characteristics of any NHEV infrastructure may change from time to time.
Project development may be affected by factors including:
- statutory and regulatory approvals;
- land availability;
- utility and grid connectivity;
- financing;
- construction conditions;
- procurement;
- technology availability;
- highway permissions;
- weather and force majeure events;
- Government policies; and
- actions or omissions of third parties.
Accordingly, any project timeline, capacity, route, station count, investment estimate or commercial projection published on the Platform shall be treated as indicative unless expressly stated otherwise in a binding contractual document.
COMMERCIAL TERMS, FEES AND PAYMENTS
Where any fee, security, subscription, service charge, application fee, onboarding charge, station-related charge or other payment is applicable, the amount, payment method, tax treatment, refundability and other conditions shall be specified in the applicable commercial document or payment interface.
Unless expressly stated otherwise:
- payments must be made through authorised channels;
- taxes, duties and statutory levies shall be borne by the party legally responsible for such payment;
- payment made through unauthorised persons or accounts shall be at the user's sole risk; and
- payment of any fee does not guarantee selection, allocation, financing, appointment or commercial success.
The Company shall not be responsible for losses arising from payments made to fraudulent or unauthorised persons claiming to represent NHEV Greenways.
ESCROW, FINANCING AND ASSET MANAGEMENT
Where a project involves project financing, escrow arrangements, station-level SPVs, bank facilities, letters of credit, security arrangements, annuity structures, asset financing or other financial mechanisms, such arrangements shall be governed exclusively by the applicable financing documents, escrow agreements, security documents and definitive project agreements.
Information on the Platform relating to financing models or commercial structures is for general information only and shall not constitute:
- an offer of credit;
- an investment solicitation;
- a guarantee of financing;
- a banking or financial advisory service; or
- a commitment by any bank, financial institution or investor.
NHEV Greenways does not guarantee financing approval or availability unless expressly agreed in writing.
THIRD-PARTY SERVICES AND PARTNERS
The NHEV ecosystem may involve independent third parties including landowners, concessionaires, contractors, EPC companies, technology providers, charging operators, battery operators, utilities, financial institutions, logistics companies, fleet operators and other service providers.
Where third-party services are made available through or referenced on the Platform:
- such services may be governed by separate terms;
- the third party remains responsible for its own services;
- users may be required to enter into separate agreements; and
- NHEV Greenways shall not be responsible for acts, omissions, representations, warranties or performance of independent third parties except to the extent expressly agreed in writing.
WEBSITE INFORMATION, ACCURACY AND VERIFICATION
NHEV Greenways makes reasonable efforts to ensure that the information published on the Platform is accurate and up to date. However, project information, specifications, timelines, station locations, capacities, commercial terms, policies, procedures, availability, contact details, project status and other information may change from time to time and may become outdated, incomplete or inaccurate without prior notice.
Accordingly, all information available on the Platform is provided for general information and reference purposes only and shall not be treated as a final, binding or definitive representation, commitment, offer or assurance by NHEV Greenways unless expressly confirmed in writing by an authorised representative of the Company.
Users, applicants, landowners, partners, investors, vendors, contractors, station operators and other stakeholders are advised to independently verify and confirm all material information with the authorised NHEV Greenways team before relying upon such information, making any commercial decision, submitting an application, making any payment, entering into any arrangement, or taking any action in relation to a project or facility.
In particular, information relating to:
- project locations and station sites;
- land parcels and land availability;
- station allocation or availability;
- project timelines and commissioning dates;
- technical specifications and capacities;
- commercial models, fees and charges;
- financing or investment structures;
- eligibility and participation requirements;
- approvals, permissions and regulatory status;
- partnerships and appointments;
- services and operational status; and
- any proposed or planned infrastructure
must be confirmed with NHEV Greenways through its authorised communication channels before reliance or action.
NHEV Greenways shall not be responsible for any loss, cost, liability, claim or consequence arising solely from reliance on information that has subsequently changed, become outdated, been withdrawn, modified or was not independently confirmed by the user.
The Platform may also contain historical information, preliminary proposals, indicative figures, projections, concepts or information relating to projects under development. Such information shall not be construed as a guarantee of future implementation, availability, performance, commercial returns or completion.
Where any information published on the Platform conflicts with a subsequently issued official communication or a duly executed written agreement, the latest authorised written communication or applicable definitive agreement shall prevail.
For avoidance of doubt, the absence of an update on the Platform should not be interpreted as confirmation that previously published information remains current. Users should confirm the latest position with the authorised NHEV Greenways team.
INTELLECTUAL PROPERTY
All content appearing on the Platform, including but not limited to:
- trademarks;
- logos;
- names;
- designs;
- graphics;
- photographs;
- videos;
- text;
- reports;
- presentations;
- technical material;
- databases;
- software;
- interfaces;
- documents; and
- other intellectual property
is owned by, licensed to, or otherwise lawfully used by NHEV Greenways or its respective licensors and partners.
No user may reproduce, modify, distribute, publish, transmit, commercially exploit, reverse engineer or create derivative works from such content without prior written permission, except where expressly permitted by applicable law.
The names, marks and logos of third parties remain the property of their respective owners.
USER CONTENT AND DOCUMENTS
Where users upload documents, photographs, plans, drawings, proposals, technical information or other material (“User Content”), the user confirms that they have the necessary rights and permissions to provide such material.
The user grants NHEV Greenways a non-exclusive right to use, reproduce, process, store, review and share such User Content to the extent reasonably necessary for:
- evaluating an application;
- conducting due diligence;
- implementing a project;
- providing requested services;
- complying with legal or regulatory requirements;
- communicating with project stakeholders; and
- administering the Platform.
The Company shall not use confidential commercial information beyond the purposes reasonably connected with the relevant transaction or project, except where required by law or authorised by the user.
DATA PRIVACY AND PERSONAL INFORMATION
NHEV Greenways may collect and process personal information submitted through the Platform for purposes including identity verification, communication, application processing, due diligence, project implementation, contractual administration, compliance and legitimate business operations.
Personal information shall be handled in accordance with applicable Indian data protection and privacy laws and the Company's Privacy Policy.
Users are responsible for ensuring that information submitted about another person is provided lawfully and, where required, with the necessary consent or authority.
PROHIBITED ACTIVITIES
Users shall not:
- use the Platform for any unlawful purpose;
- provide false, misleading or fraudulent information;
- impersonate another person or organisation;
- attempt to gain unauthorised access to the Platform or its systems;
- introduce malware, viruses or malicious code;
- interfere with the operation or security of the Platform;
- scrape, crawl or systematically extract data without permission;
- infringe the intellectual property or other rights of any person;
- use the Platform to commit fraud or facilitate unlawful activity;
- submit forged, altered or fabricated documents; or
- attempt to circumvent eligibility, verification, security or evaluation procedures.
The Company may suspend or terminate access where it reasonably believes that these Terms have been violated.
CYBERSECURITY AND DIGITAL COMMUNICATION
Users are responsible for maintaining the confidentiality of their login credentials, passwords, OTPs and other authentication information.
NHEV Greenways will not be responsible for losses arising from unauthorised use of credentials where such loss results from the user's negligence, disclosure or failure to maintain appropriate security.
Users should not share OTPs, passwords, banking credentials, payment details or other confidential authentication information with any person claiming to represent NHEV Greenways unless using an officially authorised process.
DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, the Platform and information contained therein are provided without warranties of any kind, whether express, implied or statutory.
NHEV Greenways does not warrant that the Platform or its content will be:
- uninterrupted;
- secure;
- accurate;
- complete;
- current;
- free from errors or viruses; or
- suitable for any particular commercial or investment purpose.
Nothing on the Platform shall constitute investment, financial, legal, tax, engineering or professional advice.
Users should obtain independent professional advice before entering into any material commercial, financial, land or infrastructure arrangement.
LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, NHEV Greenways, its directors, officers, employees, consultants, affiliates, representatives and authorised partners shall not be liable for any indirect, incidental, special, consequential or punitive loss arising from:
- use or inability to use the Platform;
- reliance on information published on the Platform;
- delay or failure in project implementation;
- interruption of services;
- third-party actions or omissions;
- loss of business, revenue, profits or anticipated savings; or
- unauthorised access to information caused by circumstances beyond the Company's reasonable control.
Nothing in these Terms shall exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
Where a separate written agreement contains specific liability provisions, those provisions shall govern the relevant transaction.
INDEMNITY
You agree to indemnify and hold harmless NHEV Greenways, its directors, officers, employees, representatives and authorised partners against claims, losses, liabilities, damages, costs and expenses arising from:
- breach of these Terms;
- inaccurate or fraudulent information submitted by you;
- violation of applicable law;
- infringement of third-party rights;
- misuse of the Platform;
- unauthorised representations made by you; or
- any claim arising from User Content submitted by you.
FORCE MAJEURE
NHEV Greenways shall not be liable for delay, interruption or failure to perform any obligation where such delay or failure arises from circumstances beyond its reasonable control, including but not limited to:
- natural disasters;
- floods;
- earthquakes;
- fire;
- epidemics or pandemics;
- war;
- terrorism;
- civil unrest;
- strikes;
- government actions;
- changes in law or policy;
- regulatory restrictions;
- court orders;
- utility or grid failures;
- highway closures;
- supply-chain disruptions;
- technology failures; or
- acts or omissions of third parties.
The Company shall be entitled to take such reasonable measures as may be necessary in response to a force majeure event.
SUSPENSION AND TERMINATION
NHEV Greenways may suspend or restrict access to the Platform or any portion thereof where reasonably necessary for:
- security;
- maintenance;
- regulatory compliance;
- investigation of misuse;
- breach of these Terms;
- technical reasons; or
- protection of the Company, its users or project stakeholders.
Termination of access to the Platform shall not affect rights or obligations that have accrued under any separate written agreement.
LINKS TO THIRD-PARTY WEBSITES
The Platform may contain links to websites, applications or resources operated by third parties.
Such links are provided for convenience only. NHEV Greenways does not control or endorse third-party websites and shall not be responsible for their content, availability, privacy practices or terms of use.
Users should review the applicable terms and privacy policies before using third-party platforms.
CONFIDENTIALITY
Information expressly identified as confidential by NHEV Greenways or provided under a confidentiality arrangement shall be treated in accordance with the applicable confidentiality obligations.
Nothing in these Terms shall prevent disclosure of information where such disclosure is:
- required by law;
- required by a competent governmental or regulatory authority;
- necessary for statutory compliance;
- necessary for financing or project implementation; or
- otherwise permitted under the applicable agreement.
MODIFICATION OF TERMS
NHEV Greenways may amend, update or replace these Terms from time to time to reflect changes in law, technology, business operations, project structures or Platform functionality.
The updated version shall be published on the Platform with the revised effective date.
Your continued use of the Platform following publication of revised Terms shall constitute acceptance of the updated Terms, to the extent permitted by applicable law.
GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of India.
Subject to the dispute-resolution provisions contained in any applicable definitive agreement, courts having appropriate jurisdiction in New Delhi, India shall have jurisdiction over matters arising out of or relating to these Terms.
DISPUTE RESOLUTION
Any dispute arising specifically from the use of the Platform or these Terms shall, in the first instance, be attempted to be resolved through good-faith discussions between the parties.
Where a separate agreement governing a particular project, transaction or service contains an arbitration or dispute-resolution mechanism, that mechanism shall prevail for disputes arising under that agreement.
Nothing in these Terms shall prejudice the rights of either party available under applicable law.
SEVERABILITY
If any provision of these Terms is held to be invalid, unlawful or unenforceable by a competent authority, such provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
WAIVER
Failure or delay by NHEV Greenways in exercising any right under these Terms shall not constitute a waiver of that right.
Any waiver shall be effective only if expressly made in writing by an authorised representative of the Company.
ENTIRE UNDERSTANDING
These Terms constitute the general terms governing use of the Platform.
For specific projects, stations, land arrangements, financing, procurement, partnerships, services, operations or other transactions, the applicable definitive agreement, Letter of Award, Letter of Intent, work order, policy, procurement document or other written instrument shall govern.
In the event of any inconsistency, the terms of the specific definitive agreement shall prevail over these general Terms to the extent of such inconsistency.
